February 1, 2005 - YTW Weslea Growth Capital Corporation (YTW Growth Capital's first Capital Pool Company) has filed a prospectus for the Initial Public Offering of its common shares with the securities commissions or similar authorities in each of the provinces of Quebec, Ontario, Manitoba, Alberta and British Columbia and with the TSX Venture Exchange.
The prospectus relates to an offering of common shares at $0.25 per share with a minimum offering of 4,000,000 common shares ($1,000,000) and a maximum offering of 6,400,000 common shares ($1,600,000). The prospectus constitutes a public offering of the securities only in those jurisdictions where they may be lawfully offered for sale and, in such jurisdictions, only by persons permitted to sell such securities. No securities regulatory authority has expressed an opinion about these securities and it is an offence to claim otherwise.
